Due Diligence Reports (“DDRs”) are required to be submitted to Vinoxchange Stock Markets:

  • as part of an application to be admitted to trading where a company is a Designated Global Issuer;
  • at the request of the market for any company classified as a Designated Global Issuer;
  • when an issuing company is subject to a reverse takeover or fundamental change of business, where such fundamental change of business model falls under the classification as a Designated Global Issuer, as part of their reverse takeover application.

The Due Diligence Report must have been undertaken by a Due Diligence Partner.

The DDR is required to cover 4 main specific areas:

  • a site visit to the operational offices/headquarters
  • an interview with management/directors of the operations
  • local searches
  • clarification of the ownership of local incorporated operations and any fundamental licenses or contracts
